Representative Matters

  • Willa Rosenbloom v. Pyott (Allergan): Obtained dismissal with prejudice of shareholder derivative action asserting that Allergan's board members failed to prevent alleged off-label marketing violations.
  • In re Amgen Inc. Securities Litigation: Representing Amgen, the world's largest biopharmaceutical company, in a national securities fraud class action alleging misstatements and omissions related to several of Amgen's most important drugs. We took over representation upon remand from the United States Supreme Court.
  • Pacific Select Fund v. The Bank of New York Mellon et al: Obtained $20 million for Pacific Life against Bank of New York Mellon at the summary judgment stage in a breach of contract and breach of fiduciary duty matter in investment mismanagement litigation, and later obtaining an additional $30 million for Pacific Life in a settlement on the eve of trial.
  • Securities and Exchange Commission v. Bank Executive et al: Successfully defended the former chairman/CEO of Countrywide Financial Corporation in a series of securities fraud and regulatory lawsuits arising from the demise of the mortgage banking industry.
  • Plaintiff Class v. an International Media and Entertainment Company: Defended a French media and entertainment company in a complex securities class action in federal court in New York, culminating in a four-month jury trial. This is one of the very few securities class action cases ever to be tried to a jury verdict.
  • State Compensation Insurance Fund v. Fuld et al.: Represented the State Fund against former Lehman Brothers executives in a securities fraud lawsuit designed to recoup the value of investment bonds it purchased from 2005 through 2008. After defeating motions to dismiss, the case settled at the conclusion of fact discovery.
  • McBride v. Ticketmaster Entertainment Inc.: Represented Ticketmaster in a shareholder class action against Ticketmaster and its board of directors alleging breaches of fiduciary duties related to the company's merger with Live Nation Entertainment.
  • Securities and Exchange Commission v. Movie Studio Executive: Represented corporate officer in motion picture industry in SEC investigation and litigation concerning insider trading.
  • Securities and Exchange Commission v. Corporate Officer: Represented an executive in SEC litigation in federal court in investigation of revenue recognition issues.
  • Venture Funds v. Mobile Telecommunications Company: Represented former investors in a mobile marketing company in prosecuting breach of contract and fraud claims related to acquisition by leading mobile solutions provider.
  • Aircraft Manufacturer v. Engine Manufacturer: Represented a manufacturer in a multimillion-dollar dispute alleging improper termination of exclusive purchase agreement.
  • Represented one of the largest providers of interactive media services to the hospitality and health care industries in the successful defense of an action brought to enjoin a critical debt transaction, obtaining a complete dismissal.
